Enterprise value

The headline value of the business, before debt, cash, fees, and structure.

What it changes in a sale

Enterprise value is the headline number in an offer, and it is the number founders tend to compare. It is not what the founder keeps: debt, fees, working capital adjustments, escrow, deferred and contingent payments, and tax all sit between it and the cash that arrives. Two offers with the same enterprise value can leave very different amounts in the founder's account.
