Data room

A secure online repository of documents buyers review during diligence.

In a sale

What it changes in a sale

The data room holds what a buyer reviews in diligence: the financial statements, contracts, leases, licenses, and the rest. A room that is organized before buyers arrive shortens diligence and keeps questions from piling up late in the process. What goes into it, and when, is part of how known issues are disclosed on the founder's terms.
