Massachusetts is a busy market for business sales, with a deep bench of buyers. The state's share of the gain is among the highest, 9% at the top. Expect an estate tax to plan the proceeds around.

Tax on the gain: 5% plus the 4% surtax on income over about $1 million.

Today

Where you stand

In Massachusetts the 4 percent surtax turns a single sale year above about $1.08 million into a 9 percent state bill on the gain.

Small firms are almost all of the state's businesses and close to half its jobs, and Boston is one of the country's largest private equity hubs.

Before the letter of intent

What Massachusetts takes

The tax on the gain, and what to settle before a buyer names a price

A long-term gain is taxed at 5 percent, plus the 4 percent surtax once the year's income tops about $1.08 million, so a large sale year pays 9 percent.

Nine percent on the gain

Long-term capital gains are taxed at 5 percent; the 4 percent surtax applies to income above $1,083,150 in tax year 2025, so the top rate is 9 percent.

Short-term gains cost more

Short-term gains on assets held a year or less are taxed at 8.5 percent, 12.5 percent once the surtax applies.

Estate tax above $2 million

The estate tax reaches only the part of an estate above $2 million for deaths from January 1, 2023; the exemption is not indexed to inflation.

The rate is the state's top rate on the gain for the year shown, the same figure as the indicator in the hero, so the two can never disagree.

  • TxTax Strategy The deal and entity structure, set before the letter of intent. FNDRS tracks whether it is in place. It never moves the price; it changes what you keep.
  • ApAfter-Tax Proceeds What you keep at close. FNDRS records the pre-tax walk-away and the gap to your number. It never moves the price, and the tax on it is a question for your CPA.

The rules of the sale

The rules a sale in Massachusetts runs under

No bulk-sale notice appears to be required, an entire-business sale is exempt from sales tax, and the 2018 non-compete act leaves sale-of-business covenants alone.

01

Bulk-sale notice likely gone

Massachusetts is reported to have repealed its bulk-sale statute in 1996; one 2025 law-firm explainer still refers to bulk-sale reporting, so confirm with counsel.

02

No sales tax on closing

Selling a business in its entirety is exempt from sales tax, except for any motor vehicle, trailer, boat or airplane included in the deal.

Non-compete act spares sellers

The 2018 Noncompetition Agreement Act caps employee non-competes at 12 months with garden-leave pay, but exempts covenants given by a significant owner in a sale.

  • LcLegal & Compliance Contracts, licences, and filings in order and enforceable. The FNDRS valuation reads it, and the score moves the multiple.
  • DrData Room The documents a buyer will ask for, ready before they ask. FNDRS tracks it in the deal-readiness report card; it decides how fast and how cleanly a deal closes.

One thing you would not guess

The millionaires surtax was sold as a tax on the rich; in practice it also catches the founder whose one big year is the sale.

The surtax counts one-time events, so a founder selling a business or a home can cross the $1 million line in a single year.

Forecast at about $2 billion a year, the surtax raised $2.4 billion in 2024, $3 billion in 2025 and over $3.1 billion in fiscal 2026 so far.

Massachusetts was the first state to require garden-leave pay in employee non-competes, in 2018.

After the close

What Massachusetts lets the proceeds do

Massachusetts offers no self-settled asset protection trust and keeps a rule against perpetuities, so post-exit trust planning often sits in another state.

No asset protection trust

Massachusetts has no domestic asset protection trust statute; assets you could receive from a trust you created stay open to your creditors.

Wealth

Trusts go out of state

Residents who want a perpetual dynasty trust or a DAPT set one up under another state's law, such as South Dakota, Delaware, Nevada or Wyoming.

Where FNDRS comes in

The post-exit wealth plan is the third act of the same engagement, and it starts in diligence, before the letter of intent, when a move or a trust can still change the answer.
