The FNDRS Elements®Element 18Multiple
Value a specific buyer gains that a financial buyer cannot.
Whiteboard session
Troy works through this element as in an FNDRS workshop: what a buyer is really asking, how the score moves, and the first thing to fix.

§1 Definition
Value a specific buyer gains that a financial buyer cannot.
Strategic Synergy is the extra value a specific buyer would gain from owning your company that a purely financial buyer would not: a product they can sell to their customers, a territory they want to enter, a capability they lack, or costs they can remove by combining operations. It is the reason strategic buyers pay higher multiples than private equity.
A specialty contractor in a market a national roll-up needs to enter has Synergy value to that one buyer. A software tool that a larger platform’s customers are already asking for has Synergy value to that platform.
Use cases
Listing the five to ten companies for whom your business would be worth the most and why, building relationships with them years before a sale, and shaping product and geography decisions with those buyers in mind.
The multiple family
Qualities that raise the price a buyer will pay for each dollar of earnings. Multiple elements are where most of the value gap closes.
The multiple. What raises the multiple: clean books, predictability, management depth, a sales engine, proprietary IP, brand, and strategic fit.
Meet the family§2 Measurement
Number of identified strategic buyers and the documented value each would gain from ownership: cross-sell, cost, capability, or geography.
How the scale reads
§3 Pathway
Every element feeds a family, and every family feeds an outcome. The chain below is the route this element's score takes into the number a buyer pays.
§4 Position
8 elements share the family. Read them together: a buyer prices them as a group.
§5 Compounds
This element is not part of a named compound. It is priced on its own, through the family it belongs to.
§6 In the FNDRS journey
The assay scores it. The process, the pillars, and the platform move it. Table 2 lists every place this element is on the agenda.
| Where | What happens | Alongside | Go |
|---|---|---|---|
| StageSell | Maximize value and optionality. Prepare, position, market, negotiate, and transact so the outcome is the best risk-adjusted one for the owner. Or hold, from a position of strength. | CcDrScEvOp | The process |
| Pillar of valueGrowth potential | Not a hockey stick, a plan with evidence. Buyers pay for growth they can underwrite: a market with room, pricing that holds, and a motion that does not depend on the owner closing every deal. | RvDmPrIpTaBr | The pillar |
§7 In the valuation
Priced by buyers Not modeled
The FNDRS valuation does not compute this element, either by design or because it is not yet measured. Its effect shows up in what a buyer will pay, in diligence, or in the structure of the deal and the proceeds.
What FNDRS reads
Out of scope by design. The valuation prices a financial buyer, so a strategic premium sits outside it.
Priced by the specific buyer at the table, which is why the sell-side process goes looking for them.
