§1 Definition

What optionality is

The freedom to sell, hold, or hand off on the owner’s terms.

Optionality is the freedom to sell, hold, recapitalize, or hand off the business on your own terms and timing. A business with high Optionality can be sold to a strategic buyer, a private equity firm, management, or family, or simply held as an income-producing asset, and the owner chooses. A business with low Optionality has one path, usually a forced one.

An owner with a transferable, profitable company can wait out a weak market or take a partial sale to remove risk while continuing to run it. An owner whose business depends on them entirely has to sell before they are unable to work, to whoever will buy.

Use cases

Understanding which exit paths are realistic for your business today, working toward the one you want while keeping others open, and avoiding decisions that close paths off.

The outcomes family

What the owner is building toward. Outcomes are read from the families above them rather than worked on directly.

What you get. The outcomes the other six families produce: enterprise value, optionality, freedom, and legacy.

§2 Measurement

What the assay measures

Number of viable paths open to the owner today (sell, recapitalize, hold, hand off) that meet the owner’s income and timing needs.

Figure 1. Sample assay for Acme Industrial: optionality scores 46 today (leaking value) against a target of 76 (strong). Sample scores, not a client. Your own assay comes from the exit score and the valuation.

How the scale reads

  1. Every element is scored from 0 to 100 against what a sophisticated buyer expects at close.
  2. Risk elements are scored as control: higher is safer.
  3. Inputs are recorded, not targeted.
  4. Outcomes are derived from their feeding families.Applies here

§3 Profile

The outcomes family in profile

Today's score for every element in the family, drawn as one shape against the dashed outline of the targets. The shape shows where the family is thin: optionality is the marked axis.

Figure 3. Optionality at J2 in the standard table: column J, row 2. Columns group the families; the wealth series runs beneath.

§4 Position

The outcomes series

4 elements share the family. Read them together: a buyer prices them as a group.

§5 Compounds

Optionality stands alone

This element is not part of a named compound. It is priced on its own, through the family it belongs to.

§6 In the FNDRS journey

Where optionality gets worked

The assay scores it. The process, the pillars, and the platform move it. Table 2 lists every place this element is on the agenda.

§7 In the valuation

How FNDRS tracks optionality

Tracked No effect on price

FNDRS tracks the signals behind this element and reports on them. The element itself does not move the FNDRS number; where it is report-only it never touches the price.

What FNDRS reads

A bank-financeability check speaks to the sale path only.

Read from the paths open to you rather than priced.
