Troy on management depth

Troy starts with a test: when were you last gone for three weeks, really gone? Then what a buyer is really asking, the two things scored, and the first thing to do.

§1 Definition

What management depth is

A leadership team that runs the company without the owner in the room.

Management Depth is a leadership team that runs the company without you in the room. It means someone other than the owner is accountable for sales, operations, and finance, and those people make decisions rather than relay them. It is what turns a job you own into a company someone else can buy.

An owner who takes a three-week vacation and returns to a business that performed normally has Management Depth. An owner who checks email hourly from the beach does not, whatever the org chart says.

Use cases

Hiring or promoting a general manager or operations leader, giving leaders real authority over budgets and hiring, and testing the team with planned owner absences of increasing length.

The multiple family

Qualities that raise the price a buyer will pay for each dollar of earnings. Multiple elements are where most of the value gap closes.

The multiple. What raises the multiple: clean books, predictability, management depth, a sales engine, proprietary IP, brand, and strategic fit.

§2 Measurement

What the assay measures

Leadership seats filled by non-owners, and the length of the owner’s longest absence without a decline in performance.

Figure 1. Sample assay for Acme Industrial: management depth scores 41 today (leaking value) against a target of 72 (developing). Sample scores, not a client. Your own assay comes from the exit score and the valuation.

How the scale reads

  1. Every element is scored from 0 to 100 against what a sophisticated buyer expects at close.
  2. Risk elements are scored as control: higher is safer.
  3. Inputs are recorded, not targeted.
  4. Outcomes are derived from their feeding families.

§3 Matrix

Where the multiple family stands

Every element of the family plotted by its sample score today against its target. The dashed line is the target itself: the farther a point sits above it, the more lift the assay asks for. Below 50 on either axis is the gap a buyer will price.

  • Hover a quadrant to read what it means for the elements inside it.
  • Points above the dashed line still need lift; a point on the line is at target.

§4 Position

The multiple series

8 elements share the family. Read them together: a buyer prices them as a group.

§5 Compounds

Management Depth stands alone

This element is not part of a named compound. It is priced on its own, through the family it belongs to.

§6 In the FNDRS journey

Where management depth gets worked

The assay scores it. The process, the pillars, and the platform move it. Table 2 lists every place this element is on the agenda.

§7 In the valuation

What the FNDRS valuation reads for management depth

Measured Medium leverage

The FNDRS valuation reads this element directly. Its assay score derives from the same answers the engine scores, so the assay and the valuation can never disagree.

What FNDRS reads

Managerial coverage, the owner's workload, and staff dependence.
