The FNDRS Elements®Element 20Risk
Processes, contracts, and records that exist only in people’s heads. Scored as control: higher is safer.
Whiteboard session
Nick works through this element as in an FNDRS workshop: what a buyer is really asking, how the score moves, and the first thing to fix.

§1 Definition
Processes, contracts, and records that exist only in people’s heads. Scored as control: higher is safer.
Documentation Debt is everything about how the business runs that exists only in people’s heads: processes, pricing logic, customer agreements made on a handshake, vendor terms, and institutional knowledge. It is a debt because a buyer must pay to recreate it, and they will subtract that cost from your price. It is scored as control, so a high score means the debt is low.
A machine shop where the lead machinist knows every customer’s tolerances from memory, or an agency whose client scopes were agreed by email and never formalized, carries Documentation Debt.
Use cases
Putting every customer on a written agreement, recording how key jobs are estimated and delivered, capturing vendor terms in one place, and having someone other than the expert perform a task from the written version to test it.
The risk family
Exposures that cause a buyer to discount the multiple or walk away. Risk elements are scored as control: a higher score means the risk is contained.
The discount. What buyers subtract for. Scored as control, so a higher score is safer: owner dependence, documentation, concentration, key people, compliance.
Meet the family§2 Measurement
Share of critical processes, contracts, and records that exist in written, current form.
How the scale reads
§3 Matrix
Every element of the family plotted by its sample score today against its target. The dashed line is the target itself: the farther a point sits above it, the more lift the assay asks for. Below 50 on either axis is the exposure a buyer will price.
§4 Position
6 elements share the family. Read them together: a buyer prices them as a group.
§5 Compounds
This element is not part of a named compound. It is priced on its own, through the family it belongs to.
§6 In the FNDRS journey
The assay scores it. The process, the pillars, and the platform move it. Table 2 lists every place this element is on the agenda.
| Where | What happens | Alongside | Go |
|---|---|---|---|
| StageBuild | Build the right foundation. Establish a company capable of becoming valuable rather than merely producing founder income. Baseline valuation, health check, constraint inventory, and the first roadmap. | TmTlCpDmCfPdOdKpLcTdAc | The process |
| Pillar of valueOperational independence | The single biggest lever on the multiple, and the one that takes the longest to move. A buyer is paying for a company, not for you, and the price reflects how true that is. | OdMdKpSpAc | The pillar |
| trackTechnology audit | The whole footprint and topology, mapped | IpTd | |
| trackSoftware and data-flow diagrams | Guidance on documenting the systems and data flows for diligence | Dr |
§7 In the valuation
Measured Low leverage
The FNDRS valuation reads this element directly. Its assay score derives from the same answers the engine scores, so the assay and the valuation can never disagree.
What FNDRS reads
Whether operations are documented for staff, ownership and governance are documented, employee contracts are current, and contracts are assignable.
The exit score is the first assay: fifteen minutes, six pillars, and a first read on the elements that matter most.
