§1 Definition
Diligence documents assembled and indexed before a buyer asks.
A Data Room is the organized collection of documents a buyer will ask for in diligence: financial statements, tax returns, contracts, employee records, corporate documents, insurance, and more. Having it assembled and indexed before a buyer asks shortens the sale, protects the price, and signals a well-run company.
Owners who build the data room during a sale process typically spend months finding documents while a buyer waits and the price erodes. Owners who build it two years early treat it as an operating tool and discover their own gaps while there is still time to fix them.
Use cases
Starting from a standard diligence request list, assigning an owner to keep it current quarterly, and using the gaps it exposes to prioritize the rest of the table.
The transfer family
Evidence that the company runs the same on day one under new ownership. Transfer elements are what diligence tests.
Transferability. What lets the company run the same on day one under new ownership: procedures, seats, a data room, a successor.
Meet the family§2 Measurement
Share of a standard diligence request list already assembled, indexed, and current.
How the scale reads
§3 Profile
Today's score for every element in the family, drawn as one shape against the dashed outline of the targets. The shape shows where the family is thin: data room is the marked axis.
§4 Position
4 elements share the family. Read them together: a buyer prices them as a group.
§5 Compounds
Compounds are the properties buyers actually price: several elements bonded into one. Each is scored from its parts.
Runs the same on day one under new ownership. Procedures, seats, and evidence all written down.
Nothing surfaces in diligence that was not already disclosed. Closes faster, at the agreed price.

§6 In the FNDRS journey
The assay scores it. The process, the pillars, and the platform move it. Table 2 lists every place this element is on the agenda.

|---|---|---|---|
| StageSell | Maximize value and optionality. Prepare, position, market, negotiate, and transact so the outcome is the best risk-adjusted one for the owner. Or hold, from a position of strength. | SyCcScEvOp | The process |

§7 In the valuation
Tracked Indirect
FNDRS tracks the signals behind this element and reports on them. The element itself does not move the FNDRS number; where it is report-only it never touches the price.
What FNDRS reads
The deal-readiness questions carry the spirit. Document assembly itself is not measured.
Tracked in the deal-readiness report card; its effect is on how fast and how cleanly a deal closes.
How the table meets the numberThe exit score is the first assay: fifteen minutes, six pillars, and a first read on the elements that matter most.
