§1 Definition

What after-tax proceeds is

What the owner actually keeps at close.

After-Tax Proceeds is what you actually keep at close: enterprise value minus debt, transaction fees, taxes, escrow holdbacks, and any portion deferred in earn-outs or seller notes. It is the number that funds the rest of your life, and it is often 55% to 70% of the headline price.

An owner who hears $20M and plans around $20M is planning around a number they will never see.

Use cases

Modeling net proceeds under several deal structures well before a sale, knowing the number you need to fund your goals so you can recognize an acceptable offer, and connecting the Tax Strategy, Estate Architecture, and Insurance Shield elements to that number.

The wealth family

What the owner and family keep. Wealth elements are set before the LOI, because after it they cannot be changed.

What you keep. Structure set before the letter of intent, so enterprise value becomes after-tax proceeds for the family.

§2 Measurement

What the assay measures

Modeled net proceeds after tax, debt, fees, and escrow, as a share of enterprise value.

Figure 1. Sample assay for Acme Industrial: after-tax proceeds scores 42 today (leaking value) against a target of 80 (strong). Sample scores, not a client. Your own assay comes from the exit score and the valuation.

How the scale reads

  1. Every element is scored from 0 to 100 against what a sophisticated buyer expects at close.
  2. Risk elements are scored as control: higher is safer.
  3. Inputs are recorded, not targeted.
  4. Outcomes are derived from their feeding families.

§3 Pathway

The path from after-tax proceeds to after-tax proceeds

Every element feeds a family, and every family feeds an outcome. The chain below is the route this element's score takes into the number a buyer pays, and then into what the owner keeps.

Figure 3. After-Tax Proceeds at E5 in the standard table: column E, row 5. Columns group the families; the wealth series runs beneath.

§4 Position

The wealth series

4 elements share the family. Read them together: a buyer prices them as a group.

§5 Compounds

After-Tax Proceeds stands alone

This element is not part of a named compound. It is priced on its own, through the family it belongs to.

§6 In the FNDRS journey

Where after-tax proceeds gets worked

The assay scores it. The process, the pillars, and the platform move it. Table 2 lists every place this element is on the agenda.

§7 In the valuation

How FNDRS tracks after-tax proceeds

Tracked No effect on price

FNDRS tracks the signals behind this element and reports on them. The element itself does not move the FNDRS number; where it is report-only it never touches the price.

What FNDRS reads

The valuation computes pre-tax walk-away proceeds, with tiered fees and debt payoff, and the gap against your desired exit amount.

Report-only. It never moves the price, and taxes need a CPA.

The exit score is the first assay: fifteen minutes, six pillars, and a first read on the elements that matter most.
