§1 Definition

What legal & compliance is

Contracts, licenses, and filings in order and enforceable.

Legal & Compliance covers whether your contracts, licenses, permits, filings, and employment practices are current, in order, and enforceable. Problems here rarely kill a deal outright, but they delay closing, trigger price reductions, and create liabilities a buyer will ask you to hold onto after the sale.

Common issues in this range: customer contracts that were never signed, employees misclassified as contractors, a business license under the owner’s name, expired certifications, or a trademark that was never registered.

Use cases

An annual legal review of contracts and entity records, standard customer and vendor agreements, an employment practices audit, and keeping corporate minutes and ownership records current.

The risk family

Exposures that cause a buyer to discount the multiple or walk away. Risk elements are scored as control: a higher score means the risk is contained.

The discount. What buyers subtract for. Scored as control, so a higher score is safer: owner dependence, documentation, concentration, key people, compliance.

§2 Measurement

What the assay measures

Currency of licenses, permits, contracts, and filings; open or threatened litigation; unresolved compliance findings.

Figure 1. Sample assay for Acme Industrial: legal & compliance scores 66 today (developing) against a target of 86 (strong). Sample scores, not a client. Your own assay comes from the exit score and the valuation.

How the scale reads

  1. Every element is scored from 0 to 100 against what a sophisticated buyer expects at close.
  2. Risk elements are scored as control: higher is safer.Applies here
  3. Inputs are recorded, not targeted.
  4. Outcomes are derived from their feeding families.

Figure 2. Diligence-Ready (DR) is the overlap of Legal & Compliance, Clean Financials, and Data Room: each set is one element, drawn in its family color; the compound is what a buyer finds where they meet.

§3 Venn

How legal & compliance bonds into diligence-ready

A compound is three elements a buyer reads as one property. Nothing surfaces in diligence that was not already disclosed. Closes faster, at the agreed price. Each circle is one element, scored on its own; the overlap is diligence-ready, read from the parts together rather than from any one of them.

  • Legal & Compliance is one of the circles. Its own score comes from the assay; the compound's comes from all 3.
  • Where one circle is weak the overlap shrinks, and with it the price a buyer puts on the whole. Strong clean financials and data room without legal & compliance is still not diligence-ready.
  • Hover a circle to read what that element measures, or the centre for the compound itself.

§4 Position

The risk series

6 elements share the family. Read them together: a buyer prices them as a group.

§5 Compounds

What legal & compliance forms

Compounds are the properties buyers actually price: several elements bonded into one. Each is scored from its parts.

§6 In the FNDRS journey

Where legal & compliance gets worked

The assay scores it. The process, the pillars, and the platform move it. Table 2 lists every place this element is on the agenda.

§7 In the valuation

What the FNDRS valuation reads for legal & compliance

Measured Low leverage

The FNDRS valuation reads this element directly. Its assay score derives from the same answers the engine scores, so the assay and the valuation can never disagree.

What FNDRS reads

Legal and compliance standing, and whether employee contracts are current.
