The road from today to the years after a sale runs through New Hampshire's rules. Here it is in the order you will meet them: where you stand, what the state takes, the rules of the sale, who buys, and what the money can do after.
New Hampshire is a smaller market, with fewer buyers competing for any one business. The state takes none of the gain. Expect a tax on the business itself on the way out.
Tax on the gain: No personal tax on wages or gains; the 7.5% business profits tax still reaches gains on business assets.

The Business Profits Tax is 7.5 percent of taxable business profits for periods ending on or after 31 December 2023.
The Business Enterprise Tax is 0.55 percent of the enterprise value tax base for periods ending on or after 31 December 2022.
The rate is the state's top rate on the gain for the year shown, the same figure as the indicator in the hero, so the two can never disagree.

The rules of the sale
No sales tax means no sales-tax clearance on an asset sale, and non-competes are void for anyone earning up to twice the federal minimum wage.
A non-compete with an employee earning up to 200 percent of the federal minimum wage is void, and an employer may not require one, since September 2019.
New Hampshire General Court, 2019
New Hampshire has no general sales and use tax, so the sales-tax bulk-sale notices and clearance certificates of other states do not arise on an asset sale.

One thing you would not guess
The no-income-tax state taxes the sale of a sole proprietorship: a proprietor's gross business profits include gains on assets used in the business.
For a proprietorship, gross business profits under the Business Profits Tax are net profit adjusted by gains or losses on the sale of assets used in the business.
The same rule reaches partnerships and trusts: gains on the sale of partnership assets or assets held for business use are added to the taxable base.

Since 1 January 2004 the common-law rule against perpetuities does not apply to a trust whose instrument opts out and whose trustee can sell or lease property.
New Hampshire enacted a self-settled asset protection trust statute, RSA 564-D, in 2008 and updated it in 2011.
