Sell a business in Washington

The road from today to the years after a sale runs through Washington's rules. Here it is in the order you will meet them: where you stand, what the state takes, the rules of the sale, who buys, and what the money can do after.

Washington is a busy market for business sales, with a deep bench of buyers. The state's share of the gain is among the highest, 9.9% at the top. Expect a tax on the business itself on the way out, a tax-clearance or bulk-sale notice before closing, a licensed broker, and an estate tax to plan the proceeds around.

Tax on the gain: No income tax; a 7% tax on gains above $278,000, 9.9% above $1 million.

Where you stand

Washington has no income tax but taxes gains over $278,000 at 7 percent, 9.9 past $1 million, with the highest estate tax rate anywhere.

About 700,000 small businesses, and a deal market anchored by Seattle, Bellevue, and Redmond software, gaming, and logistics, with roughly 200 announced transactions a year.

What Washington takes

The tax on the gain, and what to settle before a buyer names a price

No income tax, but an excise of 7 percent on long-term gains above a $278,000 deduction, plus 2.9 percent on gains over $1 million from 2025. A qualifying family-owned small business sale is deducted entirely.

Capital gains excise, 7 percent

RCW 82.87.040 imposes 7 percent on an individual's Washington capital gains, and from 1 January 2025 a further 2.9 percent on gains above $1,000,000.

A $278,000 standard deduction

The 2025 standard deduction is $278,000 per individual or couple, and the gain from selling all or substantially all of a qualified family-owned small business is deductible.

What the excise leaves out

Real estate, depreciable business assets, and retirement accounts are exempt, and from 2025 B&O tax paid on the same sale is credited against the capital gains tax.

The rate is the state's top rate on the gain for the year shown, the same figure as the indicator in the hero, so the two can never disagree.

The elements this touches

  • TxTax Strategy The deal and entity structure, set before the letter of intent. FNDRS tracks whether it is in place. It never moves the price; it changes what you keep.
  • ApAfter-Tax Proceeds What you keep at close. FNDRS records the pre-tax walk-away and the gap to your number. It never moves the price, and the tax on it is a question for your CPA.

The rules of the sale

The rules a sale in Washington runs under

Selling more than half the business makes its taxes due at once and the buyer must withhold until the Department of Revenue clears the seller; a real estate licence covers sales that include real property.

01

Taxes due within ten days

RCW 82.32.140: disposing of over 50 percent of a business's assets makes tax due within ten days, and the successor withholds purchase money until a receipt or no-tax certificate.

02

Notice buys a six-month release

A buyer who gives the Department written notice of the acquisition is released if no assessment against the seller issues within six months.

03

Licensed when property is included

The real estate licensing law defines a business opportunity as a business or its goodwill when the deal includes an interest in real property, bringing such sales under licensed brokerage.

The elements this touches

  • LcLegal & Compliance Contracts, licences, and filings in order and enforceable. The FNDRS valuation reads it, and the score moves the multiple.
  • DrData Room The documents a buyer will ask for, ready before they ask. FNDRS tracks it in the deal-readiness report card; it decides how fast and how cleanly a deal closes.

One thing you would not guess

The capital gains tax is legally an excise, not an income tax, and it reaches a grantor trust the founder set up even when federal law does not.

A non-grantor trust whose funding was an incomplete gift is treated as a grantor trust, so the founder still owes the tax on its sale gains.

Goodwill from selling a franchised auto dealership is exempt from the tax, a carve-out no other trade gets.

After the close

What Washington lets the proceeds do

Washington now has the highest estate tax rate in the country: 35 percent at the top on estates over $3 million, so where a seller lives at death matters more than where the company sold.

Estate tax reaches 35 percent

As of October 2025 Washington taxes estates above a $3 million exemption at 10 to 35 percent, the top rate reached at $9 million.

What changed in 2025

In 2024 the exemption was $2,193,000 and the top rate 20 percent; both moved in 2025.

Wealth

A tax on gross receipts

Washington also runs a business and occupation tax on gross receipts with rates set by activity, one of only a handful of state-level gross receipts taxes.

Where FNDRS comes in

The post-exit wealth plan is the third act of the same engagement, and it starts in diligence, before the letter of intent, when a move or a trust can still change the answer.
