The road from today to the years after a sale runs through Utah's rules. Here it is in the order you will meet them: where you stand, what the state takes, the rules of the sale, who buys, and what the money can do after.
Utah is a mid-sized market, where the right buyers usually have to be found rather than met. The state's cut of the gain is modest, 4.5% at the top. Expect a tax-clearance or bulk-sale notice before closing, and a licensed broker.
Tax on the gain: Flat rate.

Disclosed Utah M&A deals doubled from 120 in 2023 to 239 in 2024, driven by insurance, wealth management, and accounting consolidators, several based in Utah, buying smaller practices.
Utah deal volume in 2025 matched its 2021 record, and private equity, Utah-based firms among them, has moved past software into insurance, dental service, and food service companies.

Utah's flat individual income tax rate fell from 4.55 percent for 2024 to 4.5 percent for tax years from 1 January 2025.
Utah draws no line between short-term and long-term gains, or between gains and ordinary income; every gain is taxed at the flat 4.5 percent.
Utah levies neither an estate tax nor an inheritance tax.
The rate is the state's top rate on the gain for the year shown, the same figure as the indicator in the hero, so the two can never disagree.

The rules of the sale
The buyer needs a Tax Commission letter of good standing or must withhold, employee non-competes die at one year but a seller's does not, and brokers need a real estate licence.
Under Utah Code 59-12-112 a buyer must get the seller's letter of good standing or withhold unpaid tax from the price, paying it within 30 days.
Utah State Tax Commission, 2025
The Post-Employment Restrictions Act voids employee non-competes longer than one year, but exempts a covenant tied to a business sale where the person is paid for it.
Littler, 2016
Utah has no separate business-broker category; brokering a business sale is done under a Division of Real Estate licence.

One thing you would not guess
A non-compete a Utah employee signs expires at twelve months by law, but the one a founder signs at closing can run as long as the buyer paid for.
Utah's one-year cap on post-employment restrictions has applied to covenants signed on or after 10 May 2016.
The cap does not touch non-solicitation, non-disclosure, or confidentiality terms, which sit outside the Act's definition.

After the close
Utah pairs a 1,000-year perpetuities period with a statutory asset protection trust, so long-horizon family planning can stay in state.
Proceeds land. What the state keeps of them is settled above; what it lets them do from here is below.
Utah's statutory rule against perpetuities uses a 1,000-year period measured from the creation of a trust.
A Utah asset protection trust must be irrevocable, carry that phrase in its title, use a corporate trustee holding some assets, and make no mandatory distributions.
WealthThe post-exit wealth plan is the third act of the same engagement, and it starts in diligence, before the letter of intent, when a move or a trust can still change the answer.
