Sell a business in Wyoming

The road from today to the years after a sale runs through Wyoming's rules. Here it is in the order you will meet them: where you stand, what the state takes, the rules of the sale, who buys, and what the money can do after.

Wyoming is one of the quietest markets, where the strongest buyers are usually brought in from outside the state. The state takes none of the gain. Expect a licensed broker.

Tax on the gain: No state income tax.

Today

Where you stand

Wyoming takes nothing from the gain on a sale, and since July 2025 a non-compete survives mainly in a business sale or with executives.

A small-business state in the plainest sense: about 73,000 small firms employ nearly two thirds of the private workforce, the second-highest share in the country.

No state tax on gains

Wyoming is one of eight states with no individual income tax in 2025, so a founder's gain on a sale carries no state tax.

No estate or inheritance tax

Wyoming is not among the 12 states with an estate tax or the five with an inheritance tax in 2025.

The rate is the state's top rate on the gain for the year shown, the same figure as the indicator in the hero, so the two can never disagree.

The elements this touches

  • TxTax Strategy The deal and entity structure, set before the letter of intent. FNDRS tracks whether it is in place. It never moves the price; it changes what you keep.
  • ApAfter-Tax Proceeds What you keep at close. FNDRS records the pre-tax walk-away and the gap to your number. It never moves the price, and the tax on it is a question for your CPA.

Under contract and at closing

The rules of the sale

The rules a sale in Wyoming runs under

Since 1 July 2025 most worker non-competes are void, but a covenant in a contract to buy or sell a business still stands; brokering a sale is treated as licensed real estate activity.

01

Most non-competes void since 2025

Senate File 107, signed 19 March 2025, voids most covenants not to compete in contracts entered into on or after 1 July 2025; earlier contracts are untouched.

Littler, 2025

02

Sale covenants survive the ban

The ban does not reach a non-compete in a contract to buy or sell a business or its assets, covenants with executive and management personnel, or covenants protecting trade secrets.

Littler, 2025

03

Real estate licence for brokers

Wyoming is described as one of the minority of states where brokering a business sale, even with no real property, needs a real estate licence from the Real Estate Commission.

The Deal Flow Source

The elements this touches

  • LcLegal & Compliance Contracts, licences, and filings in order and enforceable. The FNDRS valuation reads it, and the score moves the multiple.
  • DrData Room The documents a buyer will ask for, ready before they ask. FNDRS tracks it in the deal-readiness report card; it decides how fast and how cleanly a deal closes.

One thing you would not guess

Wyoming had no non-compete statute at all until 2025, and its Supreme Court had already ruled in 2022 that a judge cannot trim an overbroad covenant to save it.

SF 107 is the first Wyoming statute on non-competes; before it the only limits were court-made tests of writing, consideration, reasonable scope, and public policy.

In 2022 the Wyoming Supreme Court barred blue-pencilling, so a court cannot narrow an unreasonable non-compete; that rule still governs pre-July-2025 contracts and the surviving exceptions.

When the process opens

Who buys

Who shows up for a business in Wyoming

A state agency helps finance the buyer of a Wyoming business: the Business Council lends alongside a bank to cover the goodwill part of a purchase, so companies stay in Wyoming after a sale.

StatewideThe state lends for goodwill

The Wyoming Business Council Succession Loan, under W.S. 9-12-301, funds the unsecured goodwill portion of buying a Wyoming business at least seven years old, in participation with a bank.

StatewideHalf the loan, ten years

The Council takes up to $500,000 or half the loan, whichever is less, for up to ten years at 4 percent to prime plus 2, with a 1 percent fee.

StatewideName the program early

The bank sets terms first and services the loan, and the Council board approves each deal; buyers are told to name the program before the bank quotes ordinary terms.

What Wyoming lets the proceeds do

Wyoming pairs no income tax with self-settled asset protection trusts, multi-generation dynasty trusts, no trust registration, and private LLC ownership, which is why trust companies cluster in Jackson Hole.

Settlor stays a beneficiary

A Wyoming asset protection trust shields assets from future creditors while the settlor stays a discretionary beneficiary and can act as trust adviser.

Wealth

Dynasty trusts, no registration

Wyoming dynasty trusts are drafted to run for generations, keeping gifted assets and their growth outside estate tax; trusts need no state registration, and LLC owners stay private.

Wealth

Incomplete gift trusts before exit

Wyoming incomplete gift trusts move assets into a Wyoming trust without a completed gift, a structure trust companies market to owners of private company shares ahead of a liquidity event.

Where FNDRS comes in

The post-exit wealth plan is the third act of the same engagement, and it starts in diligence, before the letter of intent, when a move or a trust can still change the answer.
