The road from today to the years after a sale runs through Virginia's rules. Here it is in the order you will meet them: where you stand, what the state takes, the rules of the sale, who buys, and what the money can do after.
Virginia is a busy market for business sales, with a deep bench of buyers. The state takes a meaningful share of the gain, 5.75% at the top. Expect a tax-clearance or bulk-sale notice before closing.

What Virginia takes
A flat-feeling 5.75 percent on the whole gain, no capital-gains preference, and no estate or inheritance tax since 2007.

Virginia's top 5.75 percent bracket, the fourth of four, begins at only $17,000 of taxable income, so nearly a whole sale gain is taxed at the top rate.
There is no long-term capital gains rate in Virginia; short and long gains are taxed at the same ordinary brackets of 2 to 5.75 percent.
Virginia's estate tax was effectively repealed for deaths from July 1, 2007 and there is no inheritance tax, save for certain remainder interests.
The rate is the state's top rate on the gain for the year shown, the same figure as the indicator in the hero, so the two can never disagree.

The rules of the sale
No bulk-sale filing was found, but the buyer must hold back price for the seller's unpaid sales tax, and from July 2025 non-competes cannot bind overtime-eligible employees.
A buyer of a business or stock of goods must hold back price for unpaid sales tax until the seller shows a clearance, or be personally liable.
Virginia Administrative Code (Virginia Law Portal), 2025
From July 1, 2025 a non-compete is void against any FLSA overtime-eligible employee or one paid under the state average wage (about $76,081), $10,000 penalty each.

One thing you would not guess
Virginia's top bracket starts at $17,000, which means the state's rate on a sale is effectively flat, and the buyers most likely to pay for a Virginia business are chasing federal dollars.
Virginia's highest income tax bracket kicks in at $17,000 of taxable income, so a founder's multi-million gain and a teacher's salary are taxed at the same 5.75 percent.
Virginia receives more federal contract money than any other state, about $120 billion a year, because of the Pentagon and the intelligence community nearby.

Who buys
Government services drive the deal flow. Northern Virginia contractors are the standard target, and private equity platforms based near Tysons exist to roll them up.

Day 0, and the years after
After the close
Virginia lets a seller shelter proceeds in a self-settled trust, run a trust for up to a thousand years, and pass an estate with no state death tax.
Proceeds land. What the state keeps of them is settled above; what it lets them do from here is below.
Since July 1, 2012 Virginia allows a qualified self-settled spendthrift trust: an independent Virginia trustee holds the assets, and creditors existing at creation get five years to challenge it.
Since July 1, 2024 the perpetuities period for personal property held in trust is 1,000 years instead of 90; real property in trust keeps the 90-year limit.
With the state estate tax effectively repealed since July 2007, a Virginia domiciliary's estate faces only the federal estate tax.
WealthThe post-exit wealth plan is the third act of the same engagement, and it starts in diligence, before the letter of intent, when a move or a trust can still change the answer.
