Sell a business in Louisiana

The road from today to the years after a sale runs through Louisiana's rules. Here it is in the order you will meet them: where you stand, what the state takes, the rules of the sale, who buys, and what the money can do after.

Louisiana is a mid-sized market, where the right buyers usually have to be found rather than met. The state's cut of the gain is modest, 3% at the top. Little else gets in the way of the sale.

Tax on the gain: Flat rate.

Today

Where you stand

Louisiana moved to a flat 3 percent in 2025 and repealed its franchise tax, but also the deduction that sheltered a business sale.

About 511,000 small businesses, 99.5 percent of Louisiana firms, employing over half the workforce; slightly more small establishments closed than opened in the year to March 2024.

The elements this touches

  • TmTime The years before you want out. It feeds the exit-readiness score and never moves the price; every other decision is planned against it.

One rate, 3 percent

The December 2024 reform replaced three brackets topping out at 4.25 percent with a single 3 percent rate from 1 January 2025.

The gains deduction is repealed

The net capital gains deduction is repealed for periods beginning 1 January 2025; only a sale under an agreement fully executed and unconditional before then still qualifies.

The rate is the state's top rate on the gain for the year shown, the same figure as the indicator in the hero, so the two can never disagree.

The elements this touches

  • TxTax Strategy The deal and entity structure, set before the letter of intent. FNDRS tracks whether it is in place. It never moves the price; it changes what you keep.
  • ApAfter-Tax Proceeds What you keep at close. FNDRS records the pre-tax walk-away and the gap to your number. It never moves the price, and the tax on it is a question for your CPA.

Under contract and at closing

The rules of the sale

The rules a sale in Louisiana runs under

A non-compete against the seller is valid for two years at most and only in parishes the contract names; successor-liability, broker, and sales tax rules were not checked.

01

Two years at most

R.S. 23:921 voids any restraint on a trade or profession outside its listed exceptions; a seller of goodwill may agree not to compete for at most two years.

02

Courts read exceptions narrowly

Louisiana courts read the exceptions narrowly, so a non-compete that skips the parish list or runs past two years fails.

The elements this touches

  • LcLegal & Compliance Contracts, licences, and filings in order and enforceable. The FNDRS valuation reads it, and the score moves the multiple.
  • DrData Room The documents a buyer will ask for, ready before they ask. FNDRS tracks it in the deal-readiness report card; it decides how fast and how cleanly a deal closes.

One thing you would not guess

The reform that cut the rate took away the exit deduction, and only a deal signed and unconditional before 2025 keeps it, whenever it closed.

A purchase agreement executed by all parties, with every condition met before 1 January 2025, keeps the repealed deduction even if the closing came later.

What Louisiana lets the proceeds do

No estate or inheritance tax, and from 2026 a corporation kept after a partial exit no longer pays the franchise tax; trust and domicile rules were not checked.

Where FNDRS comes in

The post-exit wealth plan is the third act of the same engagement, and it starts in diligence, before the letter of intent, when a move or a trust can still change the answer.
