Casella Waste Systems announced in July 2025 it would buy West Virginia-based Mountain State Waste, four hauling operations and about 60 trucks, for roughly $30 million of annual revenue.
Waste Dive, 2025
The road from today to the years after a sale runs through West Virginia's rules. Here it is in the order you will meet them: where you stand, what the state takes, the rules of the sale, who buys, and what the money can do after.
West Virginia is a smaller market, with fewer buyers competing for any one business. The state's cut of the gain is modest, 4.82% at the top. Expect a tax-clearance or bulk-sale notice before closing.

What West Virginia takes
Graduated rates topping out at 4.82 percent above $60,000 in 2025, cut 5 percent across the board to 4.58 for 2026. No capital-gains preference, no estate tax.

West Virginia's 2025 brackets run 2.22, 2.96, 3.33, 4.44, and 4.82 percent, the top rate starting at $60,000 of taxable income.
SB 392, signed 31 March 2026, cuts every rate 5 percent retroactive to 1 January 2026, so the top rate becomes 4.58 percent over $60,000.
West Virginia is not among the 12 estate-tax states or the five inheritance-tax states as of October 2025.
The rate is the state's top rate on the gain for the year shown, the same figure as the indicator in the hero, so the two can never disagree.

The rules of the sale
Selling out makes every state tax due within 30 days, and the buyer is personally liable unless the deal is at arm's length and the price is held back until the Tax Commissioner's receipt.
W. Va. Code 11-10-11(f): a seller must file final returns within 30 days of selling the business or stock of goods, and unpaid tax is a lien on its property.
West Virginia Legislature, 2025
The successor escapes personal liability only if the purchase was at arm's length and it withheld enough consideration until the seller produced the Tax Commissioner's receipt.

One thing you would not guess
West Virginia has no state gross receipts tax, but its cities and counties levy their own business and occupation taxes, and a public contract cannot close until they are released.
Final payment on a state or local contract is withheld until the county or municipality releases its business and occupation taxes against the contractor.
West Virginia is one of a few states that permit local taxes on a gross receipts base while levying none at state level.
When the process opens
Who buys
Deals are mostly strategic add-ons by out-of-state buyers of family-built service companies, and the state SBDC runs succession planning as a service line for owners.

What these buyers look for
A buyer from out of state asks who runs the company once the owner has left. If the honest answer is you, it is a job you own, not yet a company someone else can buy.

Day 0, and the years after
After the close
Since July 2025 a West Virginia trust may run 1,000 years instead of 90, which puts the state among the dynasty-trust jurisdictions for a seller who keeps the proceeds at home.
Proceeds land. What the state keeps of them is settled above; what it lets them do from here is below.
For a trust created on or after 1 July 2025, the statutory rule against perpetuities reads 1,000 years wherever it said 90.
Older trusts stay under the uniform rule: an interest must vest within lives in being plus 21 years or within 90 years of creation.
The post-exit wealth plan is the third act of the same engagement, and it starts in diligence, before the letter of intent, when a move or a trust can still change the answer.
