Sell a business in North Carolina

The road from today to the years after a sale runs through North Carolina's rules. Here it is in the order you will meet them: where you stand, what the state takes, the rules of the sale, who buys, and what the money can do after.

North Carolina is a busy market for business sales, with a deep bench of buyers. The state's cut of the gain is modest, 4.25% at the top. Expect a tax-clearance or bulk-sale notice before closing.

Tax on the gain: Flat rate.

Today

Where you stand

North Carolina taxes the gain at a flat 4.25 percent, has no estate tax, and makes the buyer withhold until the state clears you.

About 1.1 million small businesses, almost all of the state's firms, with Charlotte the private equity centre and a growing share of the largest private companies now sponsor-owned.

One flat 4.25 percent rate

North Carolina taxes all individual income, gains included, at a single 4.25 percent rate from the first dollar in 2025.

No estate or inheritance tax

North Carolina is absent from the list of 12 states with an estate tax and five with an inheritance tax as of October 2025.

A franchise tax alongside income

The Department of Revenue administers a corporate franchise tax alongside corporate income tax; the rate page could not be read this session.

The rate is the state's top rate on the gain for the year shown, the same figure as the indicator in the hero, so the two can never disagree.

The elements this touches

  • TxTax Strategy The deal and entity structure, set before the letter of intent. FNDRS tracks whether it is in place. It never moves the price; it changes what you keep.
  • ApAfter-Tax Proceeds What you keep at close. FNDRS records the pre-tax walk-away and the gap to your number. It never moves the price, and the tax on it is a question for your CPA.

Under contract and at closing

The rules of the sale

The rules a sale in North Carolina runs under

Sales tax is a lien on the business at transfer; the buyer withholds enough to cover it until the Secretary of Revenue certifies nothing is due. No business-broker licence exists.

01

The buyer withholds until cleared

Under G.S. 105-164.38 the buyer must withhold from the price until the seller produces a Department of Revenue statement that sales taxes are paid or none are due.

North Carolina General Assembly, 2025

02

No withholding, buyer liable

A buyer who fails to withhold is personally liable for the unpaid tax up to the greater of the price paid or the fair market value.

North Carolina General Assembly, 2025

03

No separate business-broker licence

The Real Estate Commission licenses only real estate brokerage under G.S. 93A; unlicensed brokerage is a Class 1 misdemeanour. No separate business-broker licence appears.

The elements this touches

  • LcLegal & Compliance Contracts, licences, and filings in order and enforceable. The FNDRS valuation reads it, and the score moves the multiple.
  • DrData Room The documents a buyer will ask for, ready before they ask. FNDRS tracks it in the deal-readiness report card; it decides how fast and how cleanly a deal closes.

One thing you would not guess

The state can chase the buyer for a seller's old sales tax for a year longer than it can chase the seller.

The limitations period for assessing a business buyer runs one year past the period for assessing the seller who owed the tax.

Charlotte-based Pamlico Capital makes growth and buyout investments of up to $125 million, and Summit Park targets lower middle-market founders.

Day 0, and the years after

After the close

What North Carolina lets the proceeds do

Since 2007 North Carolina has switched off the common-law rule against perpetuities for trusts, so a post-exit trust can run indefinitely if the trustee can sell.

Proceeds land. What the state keeps of them is settled above; what it lets them do from here is below.

G.S. 41-23(h), since 2007No limit

G.S. 41-23(h) says the common-law rule against perpetuities and rule against accumulations do not apply to trusts created or administered in the state, since 2007.

Suspended power of saleLives + 21

A trust is void only if it suspends the power to sell trust property beyond lives in being plus 21 years, and a trustee's power of sale removes that limit.

Where FNDRS comes in

The post-exit wealth plan is the third act of the same engagement, and it starts in diligence, before the letter of intent, when a move or a trust can still change the answer.
